CLEANSING NOTICE UNDER SECTION 708A(5)(e) OF THE
CORPORATIONS ACT 2001
Venari Minerals NL (formerly Astute Metals NL) (ASX: ASE1) (“Venari” or “the Company”) gives notice
under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Act) that on 26 September 2025 it
issued 273,945,629 fully paid ordinary shares (Shares) to sophisticated investors as part of the
Company’s second tranche of its capital raising, announced on 31 July 2025.
The Shares were issued following shareholder approval obtained at the Company’s General Meeting
held on 12 September 2025.
Cleansing Notice
The Company provides the following information under section 708A(5)(e) of the Act:

the Shares were issued without disclosure to investors under Part 6D.2 of the Act;

•

this notice is being given under section 708A(5)(e) of the Act;

•

as at the date of this notice, the Company has complied with:

the provisions of Chapter 2M of the Act as they apply to the Company; and
sections 674 and 674A of the Act; and

as at the date of this notice, there is no information that is “excluded information” (as defined
in sections 708A(7) and 708A(8) of the Act) that is required to be disclosed.

The relevant Appendix 2A concerning the issue of the Shares has been lodged separately to this
announcement.
