Issue of Cleansing Notice under Section 708A(5)(E) of
the Corporations Act
Venari Minerals NL (ASX: VMS) (“VMS”, “Venari” or “the Company”) gives notice under section
708(A)(6) of the Corporations Act 2001 (Cth) (the Act) that on 31 July 2026, a total of 22,095,000 fully
paid ordinary shares were issued to sophisticated investors as part of the Company’s first tranche of its
capital raising initiative, announced on 20 July 20261
(Tranche 1 Shares).
The Tranche 1 Shares have been issued pursuant to the Company’s placement capacity under Listing
Rule 7.1 and 7.1A.
Cleansing Notice
TheCompany gives thefollowing information undersections 708A(5)(e) of theAct in relation to the issue
of the Tranche 1 Shares:
• the Shares were issued without disclosure to investors under Part 6D.2 of Act;
• this notice is being given by the Company under section 708(5)(e) of the Act;
• as at the date of this notice, the Company has complied with:
o the provisions of Chapter 2M of the Act as they apply to the Company; and
o sections 674 and 674A of the Act;
• as at the date of this notice, there is no information that is “excluded information” (as defined
in section 708A(7) of the Act) which is required to be set out in this notice under section 708A(8)
of the Act.
The relevant Appendix 2A concerning the issuance of the Tranche 1 Shares has been lodged separately
to this announcement.
